2. Confidential Information
For the purposes of this Agreement, "Confidential Information" shall mean any non-public information disclosed by either Party, whether orally, in writing, or by any other means, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information.
Each Party agrees to use the Confidential Information solely for the purposes of evaluating the proposed business relationship and not for any competitive purpose.
